MARKETING AGREEMENT FORM
This Marketing Services Agreement includes and incorporates by reference those additional terms and conditions included in Service Orders, receipts, and communications from Us. As used in this Agreement, "We," "Our" and "Us" refers to URLink Print & Media, LLC.
URLink Print & Media, LLC (a Wyoming limited liability company, doing business under the imprint name "URLink Publishing"), and its employees, agents, representatives, partners, parent and related entities and imprints, licensees, successors and assigns; "Contractors" refers to third party publishers, agencies, vendors, retailers, distribution channels, and suppliers with which We contract; and "You" and "Your" refers to the person or entity accepting this Agreement by signing below.
By signing this Agreement, You engage Us to provide certain marketing, and promotional services ("Marketing Services"), with the objective of selling and promoting a book, in print, digital, video, and/or audio format (the “Work”). The specific Services purchased by You may be purchased individually or bundled into a "Purchasing Package," and will be set forth in one or more separate "Service Orders." This Agreement applies to and governs all Services provided by Us while this Agreement is in effect, as well as any acts incidental to the fulfillment of the Services or other responsibilities under this Agreement or applicable law.
REFUNDS/WORK TERMINATION
Either Party may terminate this Agreement at any time, with or without cause, with written notice to the other Party. When this Agreement is terminated, We will notify and demand that all of Our Contractors (such as Amazon, Google and marketing vendors) cease the production, sale and promotion of the Work. However, We cannot control the actions or omissions of Our Contractors, or when they choose to comply with Our request. Even after Contractors stop promoting the Work, previews and excerpts may be seen on the internet in perpetuity, long after termination. We will not be liable to You for copyright infringement, or in any other way,for the failure of a Contractor to cease the production, sale and promotion of the Work to remove an excerpt or preview of the Work after this Agreement is terminated, provided that We have given notice of therequested change to such Contractor. You will remain liable for payment of the balance due, subject to the Refund provisions below.
If You terminate the Agreement, or if We terminate the Agreement for Cause (as defined below) at any time or without Cause after We have fulfilled the Marketing Services, Refunds will be issued as follows:
For individual Services and bundled Marketing Service(s):
o Prior the beginning of fulfillment of individual and bundled Marketing Service(s):
0-30 calendar days after the purchase: 100% of purchase price, less $150 administrative fee
More than 30 calendar days after the purchase: No Refund
o After We begin fulfillment of individual and bundled Marketing Service(s):
No Refund
o NOTE: Fulfillment of a Service occurs either when You return the author questionnaire, whether or not completed fully or correctly, or when We or a Contractor begin work on the Service, whichever occurs first.

Disclaimer
URLink Publishing reserves the right to delay the launching of any service if the chosen order has not been fully paid yet.
Authors may suggest a specific launching date for marketing services, but URLink Publishing does not guarantee fulfillment on the preferred date. All orders are scheduled according to a first-come, first-served basis.
Refund requests will not be entertained once the author signs and submits the approval form for services that require outsourcing to a vendor such as (scheduled book events). Nor, will the author have the option to revise the content of the approval form once it has been signed and submitted.
URLink’s marketing campaigns are designed to maximize a book’s sales potential, but we cannot guarantee immediate results through our marketing services.

Services and Distribution Agreement
This Services and Distribution Agreement includes and incorporates by reference those additional terms and conditions included in Service Orders, receipts, and communications from Us, as well as Our Privacy Policy, Legal Notice, Content Guidelines, submission and approval forms, and the terms of use governing the use of Our websites and the Author Center (collectively referred to as the "Agreement"). As used in this Agreement, "We," "Our" and "Us" refers to URLink Print & Media, LLC.
URLink Print & Media, LLC (a Wyoming limited liability company, doing business under the imprint name "URLink Publishing"), and its employees, agents, representatives, partners, parent and related entities and imprints, licensees, successors and assigns; "Contractors" refers to third party publishers, agencies, vendors, retailers, distribution channels, and suppliers with which We contract; and "You" and "Your" refers to the person or entity accepting this Agreement by signing below. The Agreement will continue in effect from the date it is first signed by You, until terminated as described below ("Term").
By signing this Agreement, You engage Us to provide certain creative, publishing, and editorial services ("Publishing Services"), marketing, and promotional services ("Marketing Services"), as well as book sale and distribution services ("Distribution") [collectively referred to as the "Services"], with the objective of publishing, selling and/or distributing a book, in print, digital, video, and/or audio format (the “Work”). Th e specific Services purchased by You may be purchased individually or bundled into a "Purchasing Package," and will be set forth in one or more separate "Service Orders." This Agreement applies to and governs all Services provided by Us while this Agreement is in effect, as well as any acts incidental to the fulfillment of the Services or other responsibilities under this Agreement or applicable law.
WARRANTIES
The author guarantees to the company that he/she possesses sole ownership of his/her book and i s the owner of the copyright of its contents. Moreover, the author assures that he/she did not commit plagiarism in relation to his/her book and ensures that its contents are entirely his/her creation. URLink Print & Media, LLC. can decide at its discretion if the author’s book is subject for violation or complaint with the content policy, including but not limited to cover image, product data, book file, and other specifics. The author must ensure that his/her book does not contain libelous, illegal, offensive, threatening, infringing, legally obscene, defamatory and intentionally hateful, and harmful or potentially harmful contents.
The author warrants or guarantees that 1) the book does not contain advertisements that either explicitly or implicitly persuades readers to purchase a product other than the book, 2) that the book does not contain materials that the author is not authorized or own a copyright to distribute, and 3) the contents do not pose intentional harms or potentially harm the reputation of an individual or a third party. If the author failed to abide the aforementioned cases, URLink Print & Media, LLC. has the right to terminate the author’s account.
AUTHOR RIGHTS
The author reserves all rights of ownership for his/her book. URLink Print & Media, LLC does not possess any rights of ownership to the author’s book. The company recognizes that it only functions as a provider of services including but not limited to book sales, online availability & distribution, and printing. In addition, the company acknowledge that it does not have the right to review or correct the content of the author’s book unless otherwise specified by the author.
WORKING WITH MINORS
The company deemed it necessary for parent or legal guardian of authors below 18 years old to co-sign the Publishing Agreement. The parent or legal guardian should also authorize the payment for the publishing and/or marketing services availed by the author.
NON-EXCLUSIVE CONTRACT
The agreement between URLink Print & Media, LLC and the author is non-exclusive in nature; thus, it allows the author to continue publishing the book to any other agents, publishers, firms and the like. In addition, URLink Print
& Media, LLC. allows the author to engage in any other agreement at any given time as long as he/she does not
sever his/her agreement to the company and if he/she grants other agent/firm/publisher the exclusive rights.
PRICING AND PAYMENT TERMS
The company reserves the right to adjust/modify the Pricing and Payment Terms at any given time. However, URLink Print & Media, LLC. ensures that authors will be informed thirty (30) days prior to the effective date.
REFUNDS/WORK TERMINATION
URLink Print & Media, LLC. is liable to provide a refund if the author terminated his/her agreement with the company for any of the following reasons; 1) URLink Print & Media, LLC. committed a breach of contract, 2) the Agreement was terminated after the author submitted the manuscript but prior to the beginning of the interior design, and if 3) the agreement was terminated after the start of the interior design but prior to completion of the Digital Preview approval form.
The author is entitled to a full refund within 0-30 calendar days after the purchase: 100% of purchase price less $150 administrative fee. This is to cover the set-up cost incurred by the author. However, only 50% refund of the purchase price is provided to the author if the agreement was terminated after the author submitted the manuscript but prior to the beginning of the interior design. Finally, the author will only receive 25% refund of the purchase price if the agreement was terminated after the start of the interior design but prior to completion of the Digital Preview approval form.
The author’s right to claim a refund will be forfeited if he/she failed to provide materials necessary in publishing his/her book before six months have elapsed from the date of the service order. Refund fees related to pre -and post-publication services namely, copyediting, books sales, and corrections will not also be provided by the company. Moreover, the company does not offer refund to the publication of second and later editions of the author’s book. A refund is also not provided when the company terminates publications of the author’s work due to breach of contract committed by the author.
URLink Print & Media, LLC. reserves the rights to discontinue/terminate the publication of the author’s book without cause. Thus, the right granted by author to the company to market and publish his/her work will revert to the author. URLink Print & Media, LLC has the discretion to discontinue publication of the author’s work at any notice will be provided to the author before the company can legally terminate the publication of his/her book. The company is liable to refund amounts paid by the author or client less the 30% initial payment if such notice is given prior to the publication of the work. This is to cover the set-up cost that the author incurred and to ensure that both parties will no longer have any further obligations to one another.
MANUSCRIPT DEADLINE
There is no deadline for the submission of the author’s manuscript; however, the author is NOT entitled to any
refunds six (6) months after signing the Agreement should he/she decides to discontinue his/her project.
BOOK RELEASE
URLink Print & Media, LLC will only release the author’s book once he/she has paid 100% of the amount due. If the
author has not fully paid the total amount due, URLink Print & Media, LLC. will hold the author’s book on queue.
COMPLIMENTARY COPIES
All costs related to production, shipment, and handling of complimentary copy requests by media outlets shall be shouldered by URLink Print & Media, LLC
REVISIONS
Additional corrections made during the production of the book will cost $1.50 per correction. If the revisions are requested after the book is printed a base fee of $175 and $1.50 per correction will be charged.
THIRD-PARTY INVOLVEMENT
URLink Print & Media, LLC. is in alliance with the Lightning Source, Inc. for digital fulfillment services. The company merely offers publishing & marketing services instead of act as the main publisher. Thus, URLink Print & Media, LLC cannot be legally held accountable for the failure of Lightning Source, Inc. to publish your work on the specified deadline. Furthermore, the author cannot file a complaint against URLink Print & Media, LLC. for any issues relating to quality of the published book. Any complaints regarding the deadline and quality of the published work should be directly filed to the Lightning Source, Inc.
AVAILABILITY AND FUTURE REPRINTS
URLink Print & Media, LLC. ensures that books are available whenever the author decided to print more books in the future. All books are digitally stored by the company.
SHIPPING & HANDLING
URLink’s packages includes the cost of the complimentary books and print materials, but you're responsible to pay
the cost of shipping and handling.
COMPLETE AGREEMENT
This written contract is deemed as the sole and entire agreement between URLink Print & Media, LLC. and the
Author.
